1. Acceptance of Terms

By accessing or using the Services, you confirm that:

• You have read, understood, and agreed to these Terms;
• You have read and understood our Privacy Policy and Refund Policy, which are incorporated by reference;
• If you are using the Services on behalf of a business or organization, you are authorized to accept these Terms on its behalf.

2. Changes to Terms

VYB may modify, update, or replace these Terms at any time. When material changes occur, we will provide notice through our website, email, or other communication channels. Continued use of the Services constitutes acceptance of the updated Terms.

3. Global Compliance and Eligibility

By using the Services, you represent and warrant that:

• You are at least 18 years old (or the legal age of majority in your jurisdiction);
• You are not barred from using the Services under any applicable law;
• You will comply with all local, national, and international laws when using the Services.

Users in the EU, UK, Brazil, Australia, Canada, and other regions may have additional consumer and data protection rights that cannot be waived.

4. Account Registration and Security

To access certain features, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information;
• Maintain and update your information as needed;
• Keep your credentials confidential and secure;
• Notify us immediately at [email protected] of any unauthorized access.

You are responsible for all activities conducted through your account.

5. VYB Bucks and Rewards

VYB may offer virtual rewards, including VYB Bucks (“Rewards”). Unless otherwise stated:

• VYB Bucks are virtual currency, not real money.
• They may be redeemable for select items, products, or services.
• VYB Bucks expire 30 days after your last login.
• Rewards cannot be transferred, exchanged, or redeemed for cash.
• VYB may modify or discontinue the Rewards program at any time.
• VYB may revoke Rewards earned through fraud, abuse, or policy violations.

6. Payments, Subscriptions, and Refunds

6.1 Payments

You agree to pay all fees associated with Services. Unless specified otherwise:

• All prices are in USD;
• You are responsible for applicable taxes (VAT, GST/HST, etc.);
• VYB is not responsible for bank or currency conversion fees.

6.2 Subscriptions and Recurring Billing

• You authorize recurring charges at the rate disclosed during checkout;
• Your subscription renews automatically unless canceled per these Terms;
• Subscription fees are non-refundable once a billing cycle begins, unless required by law.

6.3 Cancellations

Subscription cancellations must be submitted at least 7 days before the next billing date. Cancellations take effect at the end of the current billing period.

6.4 Refunds

Refunds are governed by our Refund Policy. In general:

• Digital products and memberships are non-refundable once accessed or used;
• EU/UK users may have a 14-day withdrawal right unless waived by accessing content;
• Brazil users may cancel within 7 days if content has not been accessed;
• Other regions follow local consumer protection laws.

7. Payment Authorization & Consent

7.1 Authorization of Charges

You authorize VYB Collective LLC to charge your payment method for the full purchase amount, taxes, and any recurring subscription fees.

7.2 Recurring Payment Consent

By completing your purchase, you acknowledge and agree to recurring monthly charges until you cancel your subscription according to Section 6.3.

7.3 Chargebacks & Disputes

You must contact VYB and complete the Dispute Resolution Process before initiating a chargeback. Filing a chargeback prematurely may result in:

• Immediate suspension or termination of your account;
• Forfeiture of VYB Bucks, commissions, and platform access;
• VYB disputing the chargeback with your payment provider.

7.4 Payment Processing & Data Security

VYB uses PCI-compliant third-party processors. We do not store full payment card details. Payment data is handled per our Privacy Policy and each processor’s security protocols.

8. Prohibited Activities

You agree not to use the Services to:

• Violate any law or regulation;
• Engage in fraud or unlawful financial activity;
• Manipulate rewards, VYB Bucks, or system mechanics;
• Upload malware, viruses, or spam;
• Infringe intellectual property rights;
• Harass, threaten, or defame others;
• Gain unauthorized access to accounts or systems;
• Disrupt the Services or platform operations.

9. Dispute Resolution Process

To resolve issues related to billing, refunds, or access:

Step 1: Contact Support

Email [email protected] with your name, order number, and issue description.

Step 2: Good Faith Resolution

We will attempt to resolve your issue, which may include refunds (if eligible), alternative access, or clarification.

Step 3: Escalation

You may request escalation to a senior support specialist.

Step 4: Formal Dispute

If unresolved, disputes proceed under Section 15. Chargebacks filed before completing this process may result in account suspension and forfeiture of benefits.

10. Intellectual Property

All content, branding, software, graphics, videos, and materials within the Services (“VYB Content”) are protected by copyright and trademark laws. You may not copy, reproduce, distribute, modify, or publicly display VYB Content without prior written consent.

11. Third-Party Services and External Links

The Services may include integrations or links to third-party platforms. VYB does not control or endorse third-party content and is not responsible for their practices. Use of third-party tools is at your own risk.

12. Limitation of Liability & Global Disclaimer

To the fullest extent permitted by law:

• The Services are provided “as-is” without warranty;
• We do not guarantee uninterrupted or error-free operation;
• VYB is not responsible for financial losses or decisions you make based on our content;
• VYB’s total liability will not exceed the amount you paid in the previous 3 months for the relevant Service.

These limitations do not override rights that cannot be waived by law.

Jurisdiction Notices:

• EU & UK: Statutory consumer rights remain intact.
• California: Rights under CCPA/CPRA remain unaffected.

13. Account Termination and Suspension

VYB may suspend or terminate accounts with or without notice if you violate these Terms, engage in fraud or abuse, or pose risk to the platform. Upon termination:

• Your access to Services ends immediately;
• Your Rewards, VYB Bucks, commissions, and balances may be forfeited;
• VYB is not required to restore access unless required by law.

14. Data Protection and Privacy

VYB complies with global privacy laws, including GDPR, UK GDPR, CCPA/CPRA, and LGPD. Users may have rights to access, correct, delete, or restrict processing of their data. Full details are in the Privacy Policy.

15. Governing Law & Global Jurisdiction

Unless required otherwise by local law:

• These Terms are governed by the laws of the State of Wyoming, USA.

15.1 U.S. Users – Arbitration

Disputes will be resolved exclusively through binding arbitration in Casper, Wyoming, except where prohibited by law.

15.2 International Users

International users may have additional rights, including:

• EU/UK: Access to local consumer protection agencies.
• Brazil: LGPD-based dispute processes.

16. Digital VAT & International Tax Compliance

• EU digital VAT may apply;
• UK VAT may apply;
• Australia & Canada GST/HST may apply;
• U.S. sales tax applies based on state/local rules.
